Terms of Service

The rules for using Saycut: what you can expect from us, what we ask of you, and how we keep voices and faces safe for everyone.

Last updated: November 6, 2026 Effective: November 6, 2026

Acceptance of terms

These Terms of Service (the “Terms”) are a binding agreement between you (“Customer”, “you”) and Codas Labs, LLC, doing business as Saycut (“Saycut”, “we”, “us”), governing your access to and use of the Saycut website, waitlist, desktop app, Saycut accounts, optional add-ons such as Saycut Cloud, and any related services (together, the “Service”).

By creating an account, clicking “I agree”, or using the Service, you agree to these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

Definitions

“Account” means your registered Saycut account.

“App” means the Saycut desktop application and its updates.

“Customer Content” means anything you or your authorized users bring into or make with the Service, including scripts, footage, recordings, photos, brand assets, projects and finished videos.

“Likeness” means a person’s voice, face, image or other identifying features, including any voice clone or AI presenter made from them.

“Outside Service” means a product or account run by someone other than Saycut that you connect to or use with the Service, such as your AI app or a voice or presenter provider.

“Subscription” means a recurring plan purchased through the Service.

Accounts and access

To use the App you must create an Account and provide accurate, current and complete information. You are responsible for safeguarding your credentials and for all activity that occurs under your Account. Notify us immediately at [email protected] if you suspect unauthorized access.

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is intended for business use, including making videos for your own business or, on a plan that allows it, for your clients.

Your licence to use Saycut

Subject to these Terms and during your Subscription, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the App on the computers you own or control, and to use the Service, within the limits of your plan:

  • The Saycut plan is for one person making videos for their own business.
  • The Saycut Agency plan adds use by your team in one Account, and covers videos you make for your clients.

The App runs on your own computer and needs a computer that meets our published requirements. Some features, such as 4K export, depend on what your computer can do. We may provide updates, and some updates may be needed to keep using features that rely on our servers.

Plans, billing and refunds

Paid plans are billed in advance on a recurring basis (monthly or annual, as selected at purchase). Prices and what each plan includes are shown on our Pricing page at the time you buy. Prices are in US dollars and exclude taxes, which you are responsible for.

Launch price. If you buy at a first-year launch price, that price applies to your first year only. Your Subscription then renews at the standard price shown to you at purchase, unless you cancel before the renewal date.

Payments are processed by our third-party payment processor. By submitting payment information you authorize us to charge your payment method for all fees owed.

Money-back guarantee. Your first purchase of a Saycut plan comes with a 14-day money-back guarantee. To use it, email [email protected] within 14 days of that purchase. Except for this guarantee, all fees are non-refundable except as required by law or expressly stated in these Terms.

AI usage is not included. Saycut needs an AI connected to make a video, and you are responsible for that cost: your AI plan’s fees and limits, or the tokens billed on your API key, paid directly to your AI company. The same applies to paid voices and media from Outside Services you connect. Before a paid job runs through a connected account, Saycut shows a cost estimate. Estimates are a guide; the Outside Service’s own bill is what you pay.

We may change fees or introduce new charges; we will provide at least 30 days’ notice of any material price increase that affects your current Subscription. Continued use of the Service after the change takes effect constitutes your acceptance of the new fees.

Your AI and outside services

You drive Saycut from the AI chat app you choose, such as Claude, ChatGPT or Codex, or Gemini, and you may connect other Outside Services. Your use of each Outside Service is governed by its own terms and privacy policy, and you are responsible for following them. We are not responsible for the availability, accuracy, cost or security of any Outside Service, or for what it does with information you send it.

Saycut never stores your AI login and never reads another app’s credential files. AI output can be wrong or unexpected. Review every video before you publish it.

Voices, faces and consent

Saycut lets you clone a voice and make an AI presenter. These features are powerful, so these rules apply to every Account:

  • Only yourself, or with written permission. You may clone or create a Likeness only of yourself (“This is me”), or of another real person who has given you written permission to do so for the use you intend (“Written permission”). You must record that consent in Saycut before use, keep the written permission, and give us a copy if we ask.
  • Fictional presenters are made-up characters. Use them only as fictional characters, and do not present them as real people giving real endorsements or testimony.
  • When consent ends. If a person withdraws permission, you must stop making new content with their Likeness. Saycut locks their voice and presenter slots again when consent is withdrawn in the App.
  • No impersonation or deception. You may not use any Likeness to impersonate someone, to mislead people about who is speaking or what a real person said or did, or to deceive viewers in a way that could cause them harm.
  • No non-consensual or unlawful content. You may not use the Service to make sexual or intimate content of a real person, content involving minors, harassment, defamation, fraud, election or political deception, or anything else that is unlawful or violates someone’s rights of privacy or publicity.
  • Disclosure. You are responsible for following any law or platform rule that requires you to label AI-generated or altered content.

We may review reports of misuse, remove access to a voice or presenter, and suspend or terminate Accounts that break these rules. We may cooperate with law enforcement and with people whose Likeness has been misused.

Acceptable use

You agree not to, and not to permit any third party to:

  • Break the rules in Voices, faces and consent.
  • Use the Service to infringe anyone’s copyright, trademark or other rights, including by using footage, music or images you do not have the right to use.
  • Use the Service for unlawful, harassing, defamatory, fraudulent, deceptive or discriminatory purposes, including false or misleading advertising claims in sales videos.
  • Use the Service to circumvent, evade or violate the terms, technical restrictions or access controls of any Outside Service or other third-party platform.
  • Reverse engineer, decompile or attempt to extract the source code of the App or Service, except where the law allows it despite this restriction.
  • Resell, sublicense or share the Service, or share Account credentials with people not covered by your plan.
  • Circumvent licence checks, plan limits or authentication mechanisms.
  • Interfere with, disrupt or impose undue load on the Service or its infrastructure.

We may suspend or terminate your access immediately if we reasonably believe you are violating this section, to protect the Service, other customers or third parties.

Your content and videos

Customer Content is and remains yours, and the videos you make are yours to use, subject to the rights of others in anything you put into them. Your footage and projects stay on your computer unless you choose an add-on, such as Saycut Cloud, that stores them for you. You grant Saycut a worldwide, non-exclusive, royalty-free licence to host, process and transmit Customer Content solely as necessary to provide, secure and support the Service, for example when you use Saycut Cloud or send samples to make a voice or presenter.

You represent and warrant that you have all rights, permissions and consents required for the Customer Content you use, including every Likeness. You are responsible for the accuracy, legality and appropriateness of Customer Content and of the videos you publish.

Design packs, free stock, preset voices, sounds and other materials we provide in the App may be used in videos you make with the Service, under your plan. Some materials come with their own licence terms, which we show where they apply. You may not sell or distribute those materials on their own.

We may use aggregated, de-identified data derived from use of the Service, such as usage counts, to operate, analyze and improve the Service, provided that such data does not identify you or any individual.

Intellectual property

Saycut, its licensors and its contributors own all right, title and interest in and to the Service, the App, our materials, documentation, trademarks and all related intellectual property. Nothing in these Terms transfers any of it to you, other than the licence in Your licence to use Saycut.

You may provide suggestions, comments or feedback. You grant us a perpetual, irrevocable, royalty-free licence to use that feedback solely to develop, maintain and improve the Service, without obligation to you.

Confidentiality

Each party agrees to protect the other party’s confidential information with at least the same care it uses to protect its own confidential information (and no less than reasonable care) and to use it only to exercise its rights and perform its obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, rightfully received from a third party without restriction, or required to be disclosed by law.

Term and termination

Term. These Terms begin on the date you first access the Service and continue for the duration of your Subscription, unless earlier terminated in accordance with this section.

Auto-renewal and cancellation. Subscriptions automatically renew for successive periods equal to the then-current term unless you cancel before the renewal date. For annual Subscriptions, Saycut will send a renewal reminder by email at least thirty (30) days before the renewal charge. You may cancel auto-renewal at any time through your Account settings. If you cancel, everything keeps working until the end of the time you have paid for. After that, your projects stay on your computer and still open, but exporting and new AI builds pause until you renew.

Termination for cause. Either party may terminate these Terms if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days after receiving written notice describing the breach in reasonable detail. Termination for cause does not limit either party’s other rights or remedies.

Suspension. Saycut may suspend access without notice if you materially breach Voices, faces and consent or Acceptable use, fail to pay undisputed fees when due, or if suspension is required to protect the Service, other customers or third parties from a security, safety or operational risk. Saycut will restore access promptly once the underlying issue is resolved, unless we terminate your Account.

Effects of termination. Upon termination: (a) your right to use the Service ends, although projects and finished files on your computer remain yours; (b) you will pay all fees accrued through the effective date of termination; (c) if you used Saycut Cloud, you may download your files for thirty (30) days, after which we may delete them; and (d) sections that by their nature should survive (including fees accrued, Voices, faces and consent, Confidentiality, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and this survival clause) will survive.

Limited warranty

During any paid Subscription, Saycut warrants that the Service will materially conform to its documentation and will apply commercially reasonable administrative, technical and physical security practices.

Saycut does not warrant the output of any AI, Outside Service, voice or presenter, which can vary and can be wrong.

Your exclusive remedy, and Saycut’s entire liability, for breach of this Limited Warranty is, at Saycut’s option: (a) re-performance or correction of the non-conforming Service; or (b) termination of the affected Subscription and refund of any pre-paid, unused fees for that portion of the Service. To invoke this remedy, you must notify Saycut of the non-conformance with reasonable detail within thirty (30) days of discovery.

Disclaimers

EXCEPT FOR THE LIMITED WARRANTY SET OUT ABOVE, THE SERVICE, THE APP AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, SAYCUT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. SAYCUT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT IT WILL RUN ON ANY PARTICULAR COMPUTER, OR THAT ANY AI-GENERATED OUTPUT IS ACCURATE, ORIGINAL OR FIT FOR YOUR PURPOSE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ARE RESPONSIBLE FOR KEEPING BACKUPS OF FILES ON YOUR COMPUTER.

EXCEPT FOR (A) YOUR PAYMENT OBLIGATIONS, (B) EITHER PARTY’S INDEMNIFICATION OBLIGATIONS, (C) YOUR BREACH OF THE VOICES, FACES AND CONSENT OR ACCEPTABLE USE SECTIONS, AND (D) EITHER PARTY’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO SAYCUT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

Your indemnity. You will defend, indemnify and hold harmless Saycut and its affiliates, officers, employees and agents (each, a “Saycut Indemnitee”) against any third-party claim arising out of or related to (i) your use of the Service in violation of these Terms or applicable law, (ii) Customer Content or videos you make or publish, including any use of a Likeness, or (iii) your violation of any third-party right, including any intellectual property, privacy or publicity right; and will indemnify each Saycut Indemnitee against damages and reasonable attorneys’ fees finally awarded against it, or agreed in settlement by you, with respect to such claim.

Saycut indemnity. Saycut will defend you and, if you are a business, your affiliates and their respective officers, directors and employees (each, a “Customer Indemnitee”) against any third-party claim alleging that the App, as provided by Saycut and used in accordance with these Terms, infringes such third party’s U.S. patent, copyright, trademark or trade-secret rights; and will indemnify each Customer Indemnitee against damages and reasonable attorneys’ fees finally awarded against it, or agreed in settlement by Saycut, with respect to such claim.

Exclusions. Saycut has no obligation under this section for claims arising from (a) Customer Content or any Likeness you supply; (b) AI output or Outside Services; (c) use of the Service in combination with non-Saycut products or data where the claim would not have arisen but for the combination; (d) modifications to the Service not made by Saycut; or (e) use of the Service in violation of these Terms.

Remedies. If the App becomes, or Saycut reasonably believes it is likely to become, the subject of a claim of infringement, Saycut may at its option (i) procure for you the right to continue using it; (ii) modify it so that it is non-infringing while preserving substantially equivalent functionality; or (iii) if neither (i) nor (ii) is commercially reasonable, terminate the affected Subscription and refund any pre-paid, unused fees. This section states Saycut’s entire liability and your exclusive remedy for any claim of infringement.

Procedure. The indemnified party must (i) promptly notify the indemnifying party in writing of the claim (provided that failure to give prompt notice does not relieve the indemnifying party of its obligations except to the extent prejudiced), (ii) give the indemnifying party sole control of the defense and related settlement negotiations (provided that no settlement that imposes liability or obligation on the indemnified party may be entered without that party’s prior written consent, not to be unreasonably withheld), and (iii) provide reasonable cooperation in the defense at the indemnifying party’s expense.

Changes to the Service or Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will notify you by email or in-app notice at least 30 days before they take effect, except when changes are required for legal, security or operational reasons. Your continued use of the Service after the effective date of a change constitutes your acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in North Carolina for any dispute not subject to arbitration.

To the extent permitted by law, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, on an individual basis. The seat of arbitration will be Raleigh, North Carolina, and the arbitration will be conducted in English. You and Saycut waive the right to bring or participate in any class, consolidated or representative action. Either party may seek injunctive relief in court to protect its intellectual property or confidential information, and a person whose Likeness is misused may seek relief in court.

Force majeure

Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, government actions, internet or telecommunications failures, or outages of third-party infrastructure providers or Outside Services (each, a “Force Majeure Event”).

The affected party will notify the other party promptly of the Force Majeure Event and use commercially reasonable efforts to resume performance. If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate the affected Subscription on written notice, and Saycut will refund any pre-paid, unused fees for the period after termination.

Miscellaneous

These Terms, together with our Privacy Policy and any order form or written agreement between the parties, constitute the entire agreement between you and Saycut. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition or sale of assets.
